OCS has announced a proposed acquisition of Mitie that would establish a UK-headquartered international facilities management group with expanded sector expertise and a broader geographic footprint. The proposed combination brings together two organizations with complementary capabilities, shared British heritage, and a common focus on delivering facilities management services across critical industries.
If completed, the transaction would strengthen the combined organization's ability to support customers operating in highly regulated and mission-critical environments. By expanding its self-delivered specialist services and investing in technology, workforce development, and operational excellence, the group aims to address evolving customer requirements across both public and private sectors.
The proposed acquisition would combine the strengths of OCS and Mitie, creating a larger facilities management organization capable of supporting increasingly complex customer environments. Together, the companies would provide a wider portfolio of integrated and self-delivered facilities services designed to improve operational efficiency, resilience, compliance, and long-term performance.
The combined business would be positioned to serve organizations operating across government, defence, healthcare, national infrastructure, life sciences, and commercial sectors, where regulatory requirements and operational complexity continue to increase.
Beyond expanding service capabilities, the proposed combination emphasizes continued investment in workforce development and operational excellence. The larger organization intends to enhance training programs, apprenticeships, and career development opportunities while strengthening its investment in technology and service delivery.

The proposed acquisition remains subject to the terms, conditions, and approvals outlined in the Rule 2.7 announcement. Until the transaction is finalized, both OCS and Mitie will continue operating independently while maintaining their existing commitments to customers and stakeholders.
If completed, the combination is expected to strengthen the group's ability to deliver integrated facilities management services while expanding its presence across international markets and mission-critical industries.
