VivoPower Strengthens Focus on AI Data Center Expansion

Following a strategic review, VivoPower's Board of Directors has identified AI data center infrastructure as the company's primary business focus. Going forward, investments and operational priorities will be directed toward scaling AI compute facilities and powered land assets designed to support hyperscalers, enterprise AI deployments, and sovereign AI initiatives.

The company believes concentrating resources on AI infrastructure will create stronger long-term value while enabling the separation of businesses that no longer align with its core strategic direction.

Tembo Separation Continues with Updated Structure

VivoPower confirmed that its previously announced business combination involving Tembo e-LV B.V. remains under development. The company has also received NASDAQ approval for the future ticker symbol "TEMB."

However, VivoPower clarified that previously announced plans relating to special dividend distributions connected to the Tembo transaction have been withdrawn. Completion of the business combination remains subject to regulatory approvals, transaction conditions, and customary closing requirements.

Caret Digital Spin-Off Strategy Revised

The company has also revised its plans for Caret Digital, which houses VivoPower's legacy U.S.-based solar development and digital asset mining operations.

Instead of the previously proposed partial in-specie distribution while retaining an ownership interest, VivoPower now intends to pursue a complete separation. Under the revised proposal, all Caret Digital shares held by VivoPower would ultimately be distributed to shareholders on a pro rata basis, subject to Board approval, regulatory clearances, exchange listing requirements, market conditions, and other customary conditions.

The company also noted that earlier implementation timelines, valuation references, distribution ratios, and record dates related to Caret Digital should no longer be relied upon.
