The sale follows the previously disclosed strategic assessment of the business. Skillsoft received initial consideration of approximately $5.4 million in the form of a seller note (after adjustments), which is subject to further adjustment. Skillsoft will also be entitled to deferred consideration in an aggregate amount of $10.0 million, less approximately $2.0 million related to long-term employee liabilities.
