Rocket Software has entered into a definitive agreement to acquire the Vertica analytics database platform from OpenText. • Rocket Software announces an agreement to acquire the Vertica analytics database from OpenText.

  • Vertica is an enterprise-grade platform for high-performance analytical and AI workloads.

  • The acquisition extends Rocket's "modernization without disruption" strategy into analytics and AI.

  • Vertica supports cloud, on-premises, and hybrid deployments, aligning with complex customer IT environments.

  • Rocket intends to fund the deal with cash; closure is expected in mid-2026, pending approvals.

  • This follows Rocket's 2024 integration of OpenText's Application Modernization and Connectivity business.

Extending Modernization into Analytics and AI

The acquisition is positioned as a natural extension of Rocket Software's core business of modernizing legacy systems. By adding Vertica, Rocket aims to address the "next wave of modernization challenges," which includes transforming traditional data warehouses and enabling AI-driven decision-making. CEO Milan Shetti highlighted the goal of helping customers "handle their most data-intensive workloads and accelerate modernization" by integrating a proven analytics engine into their portfolio.

A Strategic Fit for Complex, Demanding Environments

Vertica is noted for its industrial-strength performance in mission-critical analytical workloads. Rocket Software emphasized that Vertica's ability to support diverse deployments—cloud, on-premises, and hybrid—allows them to meet customers where they are, particularly those with demanding performance, regulatory, and data sovereignty requirements. This aligns with Rocket's history of managing sensitive, high-volume data platforms like Rocket MultiValue databases and Rocket Model 204.

Building on a Proven Acquisition Track Record

Rocket Software has recent, relevant experience in integrating acquisitions from OpenText. The company completed the integration of OpenText's Application Modernization and Connectivity (AMC) business in May 2024, providing a template for absorbing Vertica. The deal is expected to close in mid-2026 and will be funded from Rocket's cash balance, subject to regulatory approvals.

Rocket Software's acquisition of Vertica signals a strategic consolidation in the enterprise software market, bringing a high-performance analytical database under the umbrella of a company specialized in modernizing core systems. This move allows Rocket to offer a more complete data-to-AI value chain, positioning it as a single partner for organizations looking to derive insights from legacy data without undergoing a disruptive, full-scale platform migration. It reflects the growing convergence of data management, analytics, and AI modernization initiatives within enterprise IT strategies.
