Proven Optics has announced a major strategic move with the acquisition of technology expense management (TEM) provider brightfin, simultaneously appointing enterprise software veteran Joel Martins as its new Chief Executive Officer. This combination creates an expanded platform designed to deliver comprehensive visibility and control over technology spend directly within the ServiceNow ecosystem, integrating IT financial management (ITFM) with expense and asset lifecycle management.
Proven Optics acquires technology expense management (TEM) firm brightfin.
Joel Martins is appointed as the new CEO of the combined company.
The merger creates a unified platform for managing IT spend on ServiceNow.
The combined entity serves hundreds of enterprise and public-sector customers.
The board expands with new directors Kristin Weston and Ed Roshitsh.
The move aims to accelerate product innovation and AI-enabled capabilities.
The acquisition unifies Proven Optics' strengths in IT cost modeling, budgeting, forecasting, and capital planning with brightfin's expertise in telecom/mobile expense automation, inventory management, and cost optimization. The combined platform is positioned to offer organizations a single source of truth for managing the full lifecycle of technology expenditure—from long-range financial planning to daily expense management—within their existing ServiceNow environment.
The newly formed company serves a substantial combined customer base of hundreds of enterprises and public-sector organizations across North America and Europe, supported by a history of strong retention and profitable growth.
Joel Martins assumes the CEO role, bringing over 25 years of enterprise software experience to lead the integrated company. He emphasized the strategic fit of the two organizations. “Enterprises are dealing with unprecedented complexity in how they plan, budget, and optimize technology spend,” said Martins. “Proven Optics and brightfin have built exceptional capabilities that are highly complementary – bringing them together creates a more complete platform for organizations that need better visibility and control across the full lifecycle of technology spend.”
The acquisition follows prior investments from private equity firm Silversmith Capital Partners in 2022 and ServiceNow in 2023, signaling continued confidence in the platform's strategic direction. “With global IT spend projected to exceed $6 trillion in 2026, organizations need solutions that can scale with their expanding technology budgets,” said Danielle Waldman, Principal at Silversmith Capital Partners. “ServiceNow is playing an increasingly central role as the system of record for IT and finance leaders. The combination gives customers a complete foundation for managing technology budgets – from long-range planning to day-to-day expense management – all within the platform they already use.”
To guide the next phase, the Proven Optics Board of Directors has been expanded. It now includes seasoned enterprise software executives Kristin Weston, a former CEO and operating partner, and Ed Roshitsh, the former CEO of both brightfin and Brightly. They join existing members, including Silversmith's Jim Quagliaroli, who remains Chairman, and Proven Optics co-founder William Miller.
This strategic consolidation aims to accelerate the product roadmap, enhance AI-driven insights by improving underlying data quality, and strengthen customer support, providing a more powerful and integrated solution for managing complex technology finances on the ServiceNow platform.
