Transaction Timeline and Process

The transaction is expected to close in the second half of 2025, pending customary closing conditions, including regulatory approvals. A “go-shop” period, expiring at 11:59 p.m. Eastern Time on June 23, 2025, allows Couchbase to explore alternative acquisition proposals, though no assurances exist that this will result in a superior offer.
