On July 7, 2025, Capgemini announced its acquisition of WNS for $3.3 billion in cash, excluding WNS’s net financial debt. “Capgemini’s acquisition of WNS will provide the Group with the scale and vertical sector expertise to capture that rapidly emerging strategic opportunity created by the paradigm shift from traditional BPS to Agentic AI-powered Intelligent Operations,” said Aiman Ezzat, Chief Executive Officer of Capgemini. The deal, valuing WNS at $76.50 per share—a 28% premium over the 90-day average—aims to position Capgemini as a global leader in Intelligent Operations, leveraging Agentic AI to transform enterprise processes.
WNS, a leader in Digital Business Process Services (BPS), brings a high-growth, margin-accretive portfolio with $1.27 billion in FY2025 revenue and an 18.7% operating margin. “By combining our deep domain and process expertise with Capgemini’s global reach, cutting-edge Gen AI and Agentic AI capabilities, a robust partner ecosystem, and advanced technology platforms, we are creating a powerful proposition that accelerates enterprise reinvention,” said Keshav R. The acquisition targets the growing demand for Intelligent Operations, a new paradigm where Agentic AI and generative AI redefine business processes. By integrating WNS’s sector-specific AI solutions and Capgemini’s partnerships with Microsoft, AWS, and NVIDIA, the combined entity will offer consulting-led, tech-driven services. This synergy is expected to generate €100 million to €140 million in revenue synergies by 2027, with cost savings of €50 million to €70 million, boosting Capgemini’s normalized EPS by 4% in 2026 and 7% in 2027. The deal also enhances Capgemini’s U.S. market presence, unlocking immediate cross-selling opportunities.
Capgemini and WNS share cultural alignment, facilitating smooth integration into Capgemini’s Global Business Services. With WNS’s 65,000 employees across 64 delivery centers and Capgemini’s AI investments, including €900 million in Gen AI bookings in 2024, the acquisition positions the group to meet enterprise demand for AI-driven transformation. The deal, approved by both boards, awaits regulatory and shareholder approvals and is expected to close by the end of 2025. However, some analysts note investor concerns about the deal’s scale, with Capgemini’s shares dropping 5% on July 7, 2025.
