The expanded partnership follows DataMeds' ongoing acquisition of a behavioral healthcare patent portfolio covering medical logistics, IoT-enabled population health, remote patient monitoring, and AI-driven behavioral healthcare technologies.
The companies plan to extend Datavault AI's data monetization platform and real-world asset tokenization technologies into DataMeds' healthcare ecosystem. The initiative is intended to enable patient-controlled access to medical information while supporting secure healthcare data transactions across multiple care environments, including pharmacies, laboratories, healthcare providers, and wearable devices.

Under the amended agreement, Datavault AI will receive common shares representing approximately 19.9% of DataMeds' outstanding common stock instead of preferred shares upon completion of previously announced related transactions.
According to the companies, the amendment was made to optimize the transaction from a tax perspective. Completion remains subject to several closing conditions, including the acquisition of intellectual property portfolios from EOS Technology Holdings and a controlling interest in Tollo Health LLC.
The value of the common shares issued to Datavault AI is expected to be recognized as revenue upon issuance.
