HPE’s enhanced portfolio addresses the growing complexity of data-intensive, hybrid AI workloads. The integration of Juniper’s Mist AI and Contrail software with HPE’s GreenLake platform offers customers a modern, secure network architecture. This enables faster innovation in networking silicon, systems, and software, providing end-to-end solutions for businesses of all sizes.
The acquisition is expected to be accretive to HPE’s non-GAAP EPS and free cash flow in the first year post-close, with the combined networking business contributing over 50% of HPE’s operating income. The settlement with the U.S. Department of Justice, requiring HPE to divest its Instant On business and license Juniper’s Mist AI software, addressed antitrust concerns, enabling the deal’s closure.
The acquisition faced scrutiny from the U.S. Department of Justice, which initially sued to block the deal, citing concerns over reduced competition in the WLAN market. HPE and Juniper successfully negotiated a settlement, divesting HPE’s Instant On business and licensing Mist AI software to competitors, ensuring a pro-competitive outcome.
