In connection with the closing, ASGN issued restricted stock unit (RSU) awards covering 157,369 shares to 16 Quinnox employees and performance stock units (PSUs) covering 75,772 shares to five key employees. The PSUs include performance conditions based on 2026 revenue and EBITDA targets.

All awards require continued service through the vesting dates, with PSUs additionally subject to performance achievement. These grants qualify as employment inducement awards under NYSE rules.
The acquisition occurs amid ASGN’s planned rebranding to Everforth in the first half of 2026. The new parent brand will unify six established solution providers—Apex Systems, Creative Circle, CyberCoders, ECS, GlideFast, and TopBloc—under a single identity focused on six core areas: AI and data, cloud and infrastructure, digital engineering, customer experience, cybersecurity, and enterprise platforms.
During the transition, operations will continue under existing brands, ensuring continuity for clients, partners, and suppliers while benefiting from enhanced collaboration and resources.
